3. Client Responsibilities

• Accurate Information: You agree to provide accurate, up-to-date information when engaging our services and maintaining communication with us.
• Project Scope: You will clearly define your project requirements, scope, and expectations. Any changes to the scope may result in additional charges.
• Payment: You agree to pay for all services rendered in accordance with the agreed payment terms, including any additional fees for extra work or services outside the initial scope.

4. Fees and Payments

• Subscription Fees: Subscription fees for ongoing services will be billed on a recurring basis, as outlined in the subscription agreement.
• Project Fees: Fees for custom projects will be provided upfront and are subject to change based on the project scope.
• Payments are due according to the schedule provided in the invoice. Late payments may result in a delay or suspension of services.

5. Intellectual Property

• Client Content: You retain all ownership rights to any content you provide to Refocus Agency LLC (e.g., text, logos, images). By providing this content, you grant Refocus Agency LLC a license to use it solely for the purpose of completing the agreed services.
• Refocus Agency LLC Work: Upon final payment, you will own the final deliverables (e.g., website design, graphics, branding). Refocus Agency LLC retains the right to use the work for portfolio and marketing purposes unless otherwise agreed upon.

6. Confidentiality

Both parties agree to keep all proprietary and confidential information shared during the course of the project strictly confidential. This includes business strategies, financial information, and other sensitive data.

7. Website Maintenance and Updates

• Ongoing Maintenance: Clients who subscribe to our maintenance services are entitled to ongoing updates and support as outlined in the subscription terms.
• Additional Work: Any work beyond the agreed maintenance and updates will be billed separately.

8. Client Review and Approval

Upon completion of key milestones, Refocus Agency LLC will submit the work for client review. Clients have the right to request revisions; however, any significant changes to the scope may result in additional charges. Final approval is required before the project is completed.

9. Limitation of Liability

Refocus Agency LLC is not responsible for any indirect, incidental, or consequential damages arising out of the use of our services, including lost profits, business interruptions, or data loss. Our liability is limited to the total amount paid by you for the services in question.

10. Termination

Either party may terminate the agreement with written notice if the other party is in breach of the terms. In the event of termination, the client is responsible for payment for all completed work up to the termination date.

11. Indemnity

You agree to indemnify and hold harmless Refocus Agency LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your use of our services, your content, or any breach of these Terms of Service.

12. Amendments

Refocus Agency LLC reserves the right to modify or update these Terms of Service at any time. Any changes will be posted on this page, and the effective date will be updated. We encourage you to review these terms periodically.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Wyoming, without regard to its conflict of law principles. Any disputes will be resolved in the courts located in Wyoming.
